Form 10K

Form 10K is a document that needs to be recorded annually with the SEC (Securities and Exchange Commission). Much of the information involved with Form 10K can be taken from your company's annual report. However, the 10K necessarily goes into more detail than an annual report. Details in the 10K will need to address a number of areas. For example, if any stock options were granted to company executives, it will be disclosed on Form 10K.

Typically, Form 10K makes available for review an all-inclusive indication of the company's business health, financial condition, and audited financial statements. Occasionally, the 10K may not incorporate financial data but instead include a phrase similar to "incorporated herein by reference." It is compulsory that publicly traded companies disclose certain information on a regular basis.

Specifically, Form 10K needs to be filed within 90 days after the end of the fiscal year covered in the annual report. If your company qualifies for accelerated filing, Form 10K will need to be submitted 60 days after the end of your company's fiscal year or, in certain instances, 75 days.

Once completed, your Form 10K will be searchable from the SEC's EDGAR database. The EDGAR database keeps all company filings available for research and perusal by potential investors.
